Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Liora.AI's AI Customer Operations Platform, available at lioraai.in (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

Liora.AI provides an AI-powered customer operations platform for D2C brands, including but not limited to: an AI agent that handles customer conversations over WhatsApp, Instagram, and Facebook; e-commerce integrations (including Shopify and WooCommerce); revenue-recovery automations (cart recovery, COD-to-prepaid conversion, win-back campaigns); and analytics and reporting on customer interactions and outcomes.

3. Account Registration

• You must provide accurate and complete information when creating an account, and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must notify us promptly at hello@lioraai.in if you suspect unauthorized use of your account.
• We may suspend or terminate accounts that provide false information or violate these Terms.

4. Subscription, Billing & Cancellation

• Paid plans are billed on a recurring basis (monthly or as otherwise stated at signup) through Razorpay.
• Fees are non-refundable except where required by law or expressly stated otherwise.
• We may change subscription pricing with reasonable advance notice; continued use after a price change constitutes acceptance.
• You may cancel your subscription at any time from Settings; cancellation takes effect at the end of the current billing cycle.
• Failure to pay may result in suspension or downgrade of your account.

5. Your Data & Content

You retain ownership of your business data, product catalog, and customer conversation data that you upload to or generate through the Service ("Your Data"). By using the Service, you grant Liora.AI a limited license to process Your Data solely to provide, maintain, and improve the Service for you.

You are responsible for ensuring you have the necessary rights and consents to share customer data (including phone numbers and conversation content) with Liora.AI, and for your own compliance with applicable data protection laws, including India's DPDP Act 2023, in how you collect and use customer data.

6. AI-Generated Content

The Service uses AI (including third-party models) to generate responses, recommendations, and automated actions on your behalf. While we work to make these outputs accurate and useful, AI-generated content may occasionally be incorrect, incomplete, or inappropriate. You are responsible for reviewing and configuring the AI's behavior (tone, policies, escalation rules) for your business, and for monitoring its interactions with your customers.

7. Acceptable Use

You agree not to use the Service to:

• Send unsolicited, deceptive, or spam messages to customers who have not consented to contact
• Violate WhatsApp's, Meta's, or Shopify's respective platform policies
• Upload unlawful, infringing, or harmful content
• Attempt to reverse-engineer, resell, or white-label the Service without written permission
• Interfere with or disrupt the integrity or performance of the Service

8. Third-Party Integrations

The Service integrates with third-party platforms (Shopify, WooCommerce, WhatsApp/Meta, Razorpay, Shiprocket, and others). Your use of those platforms remains subject to their own terms. Liora.AI is not responsible for outages, policy changes, or actions taken by these third-party providers.

9. Intellectual Property

The Service, including its software, design, and branding, is owned by Liora.AI and protected by applicable intellectual property laws. These Terms do not grant you any rights to Liora.AI's trademarks, logos, or brand assets except as necessary to use the Service as intended.

10. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated outputs will always be accurate.

To the maximum extent permitted by law, Liora.AI shall not be liable for any indirect, incidental, or consequential damages, or for lost revenue or profits, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the three months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees due, or if required by law. You may stop using the Service and delete your account at any time. Upon termination, your right to use the Service ends immediately; data deletion is handled per our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Indore, Madhya Pradesh, India.
